TERMS AND CONDITIONS

These general conditions called “Contract” are applicable to any order placed and accepted by L’ATELIER A BALI, (hereby designated as “L’ATELIER A BALI”): each document and/or correspondence linked to this agreement, when duly signed or sent by the authorized person, either by post, mail or electronic mail, fax in any file format, these means will be considered ORIGINAL, legally binding and enforceable documents as such.

  1. LEGAL DOMICILE AND COMMUNICATION
  2. L’ATELIER A BALI (hereby designated as “L’ATELIER A BALI” is a sourcing, import export company, incorporated under Indonesian laws, and having its registered office at JALAN TANGKUBAN PERAHU, LINGKUNGAN PENGIPIAN, Kel. Kerobokan , Kec. Kuta Utara, Kab. Badung, Prov. Bali, Indonesia.

    Our opening hours are 8.00 – 17.00 WITA Time (GMT + 7).
    Any correspondence and/or communication related to our services that we receive outside of working hours will be processed on the next working day.

  3. ORDER SUBJECT TO ACCEPTANCE
  4. All orders are subject to prior acceptance by L’ATELIER A BALI as a trader with its suppliers. Upon acceptance of an order placed by the Buyer, L’ATELIER A BALI will send the Buyer a Pro forma Invoice for the products specified in the Order, to be confirmed by the Buyer.

  5. TERMS OF PAYMENT
  6. A 50% down-payment of the total of the order by bank transfer to our professional bank account, after confirmation of the quote by the buyer. Financial regulations for monitoring the fulfillment of orders will be requested. They can be up to 40% in addition to the order amount. Full payment must be paid upon completion of the order with the supplier, before the products are collected. A payment request is sent by L’ATELIER A BALI to the customer and must be paid within 3 days at most in order to settle the supplier.

  7. DELIVERY AND SHIPPING
  8. The ordered goods are then collected, packed and shipped by the freight forwarder “Cargo” in Indonesia. A Pro Forma Invoice is established by L’ATELIER A BALI or directly by the forwarder of your choice. This Invoice will be established according to the volume, the special conditions for certain goods, the charges and fees applicable by the Indonesian government and the services of the “CARGO” (freight forwarder in Indonesia). The amounts include all charges and taxes in Indonesia as well as shipping costs in the event that the customer asks us to make the shipment.

  9. PRICE AND CONDITIONS
  10. Published prices are net unless otherwise indicated and are at the supplier’s point of origin. All points of origin are at the discretion of L’ATELIER A BALI. The final point of origin will be indicated on the “PFI” order confirmation and will be the point of origin used for all billing purposes. Prices do not include Cargo charges, shipping, insurance in transit, storage charges, sales taxes or other taxes.

  11. TERMS AND CONDITION OF SALE
  12. Before carrying out an order, there must be a written confirmation of the Proforma Invoice by the BUYER and the required down-payment must be received. Each customer’s order will be processed as indicated on the order confirmation and sent by L’ATELIER A BALI. In case of a discrepancy, the BUYER must inform L’ATELIER A BALI within a period of (2) two days from the date of confirmation of the order. L’ATELIER A BALI accepts no responsibility for shipments to destinations other than those indicated on our order confirmation. The order confirmation can only be changed by writing to L’ATELIER A BALI. Orders become final.

  13. REALIZATION OF THE ORDER
  14. L’ATELIER A BALI welcomes any request for development of the BUYER’s own designs. HOWEVER, the BUYER shall indemnify L’ATELIER A BALI against any loss and liability, including legal costs on an indemnity basis, arising out of customer’s claims based on the non-compliance of the goods with any local law or right of law. intellectual property.

  15. Time-frame for production
  16. Each product from L’ATELIER A BALI is individually handcrafted by our skilled craftsmen. Accordingly, please allow approximately 8 weeks from the date we receive the signed approval/confirmation of the ProForma Invoice.

    Delivery times may vary outside of this production time range due to certain factors such as number of parts ordered, holidays, production delays, etc.

    PRODUCTION can only start after the 50% down-payment is received by L’ATELIER A BALI.

  17. ORDER CANCELLATION
  18. L’ATELIER A BALI is not obliged to accept the changes requested after confirmation of the order. However, L’ATELIER A BALI may accept reasonable modifications to an order under the following conditions:

    1. The request must be submitted in writing and received in time to be implemented.

    2. Changes will be subject to additional charges for materials, labor and administrative costs. Orders cannot be canceled once the production has started.

  19. MATERIALS
  20. L’ATELIER A BALI reserves the right to modify the materials or interrupt production if for any reason the materials are not available on the market. Due to the hand shaping of our furniture, decorations and crafts, including on the nature of very sensitive materials, variations from color samples and production can be expected. It is clarified that all dimensions and load capacity requirements indicated in the Pro Forma are to be considered approximate.

  21. FINISHING
  22. Due to the unique qualities of rattan, wood and bamboo, variations such as grain color, grain pattern, and unique markings are to be expected. These variations may be present on each piece of furniture and within the same door / drawer front and are not considered to be defects. Lacquer shade may vary slightly due to slight variations by the lacquer manufacturer. Our samples are used as a GUIDE ONLY and should not be taken as representing the exact lines or shade of your finished products. The buyer agrees not to dispute the finish, color, texture or any other physical attribute after delivery of a product.

  23. GOODS INSPECTIONS
  24. The Buyer acknowledges and agrees that they are under an obligation to make a full inspection and/or examination of the Goods as soon as the BUYER has received notification from L’ATELIER A BALI when the date of “ORDER” will be available for inspections, and in no case more than 5 working days. If for any reason the BUYER is unable to inspect, all orders will be shipped as it is and BUYER HEREBY DISCLAIMS ANY WARRANTIES, express or implied, including warranties of quality of goods and of particular merchant-ability and suitability.

  25. DELIVERY, TITLE, AND RISK OF LOSS
  26. Unless the BUYER advises otherwise by written instructions, the Seller will make the goods available to the Cargo. All points of delivery of the products are at the discretion of L’ATELIER A BALI, title and risk of loss of the goods will pass to the buyer upon such delivery by the seller. The delivery dates indicated are approximate. The seller cannot be held responsible for any loss, damage, penalties or expenses in case of failure to meet a delivery date.

  27. INTELLECTUAL PROPERTY
  28. Unless expressly stated in this Agreement, each party retains all rights to its intellectual property. All intellectual property rights created or generated by the parties or their employees in connection with the provision of the services or transition services will vest in the party that created or generated its intellectual property rights or on its employees. Title to all inventions made jointly by L’ATELIER A BALI or employees with Buyer or its employees, during the term of this Agreement, shall be jointly held by L’ATELIER A BALI.

  29. MAJOR FORCE
  30. Due to the artistic and personalized nature of the manufacturing process, all completion and delivery dates listed are only probabilities. L’ATELIER A BALI shall not be responsible for any delays in completion or shipment or failure to deliver due to any reason of force majeure or for any cause beyond the reasonable control of the manufacturer, including, but not limited to , the defect resulting from a case of force majeure, War, Civil insurrection or disturbance, riots, government law or regulation, strikes, lock-out, Climate disturbance, Cyber attacks, inability to obtain finished materials, the inability to secure transport or any cause beyond the commercially reasonable will of our party.

  31. PRODUCTION RECEPTION
  32. The products sold by L’ATELIER A BALI are guaranteed and the customer has 5 days after receipt of the products for any claim which engages the responsibility of L’ATELIER A BALI. In case of exchange of products, the costs of CARGO, shipping and reception remain the responsibility of the customer.

    We strongly recommend using a qualified receiving warehouse to receive, inspect, consolidate deliveries and facilitate home installation. All goods in the crate must pass through a professional receiver such as a warehouse receipt. L’ATELIER A BALI products will conform substantially to the descriptions but are not guaranteed against wear, fade or minor variations in wave, color, tone, grain or precise dimensions.

  33. RULES OF LAW
  34. These general conditions and all the agreements described, as well as all the instructions above, are valid and binding under the rules of Indonesian law for both parties when signing these agreements. (The Indonesian arbitration will have exclusive jurisdiction over any white dispute that may arise between Buyer and Seller).
